Tracer to Be Acquired by BakBone Software.

CALGARY, ALBERTA, March 3, 2000 - Net Resources Inc. (BakBone Software), (Toronto Stock Exchange Symbol -NRH), is pleased to announce an agreement for the acquisition of Tracer Technologies, Inc. (www.tracertech.com), based in Gaithersburg, MD. The acquisition is subject to due diligence, and Toronto Stock Exchange approval, and is expected to close in April 2000. Details of the acquisition will be released once final due diligence is complete.

The capability to scale between near-line and off-line storage management strategies creates great value for our customers and widens their choices for data storage protection and management strategies."

Tracer Technologies high-performance storage management software for re-writable and write-once optical CD-ROM, CD-R, DVD-ROM, DVD-RAM, DVD-R, and tape storage peripherals have been successfully installed at more than 15,000 customer sites in over 70 countries. Customers include: Nations Bank, Bear Stearns, Hewlett Packard, Boeing, DreamWorks SKG, IBM, Sun Microsystems, Compaq, Department of Defense, the FBI, NASA, Kodak, Chase Manhattan Bank, and many others.

The market for storage management software is expected to accelerate due to exponential growth expected as a result of corporate investment in SAN technologies.

BakBone Software, headquartered in San Diego California, is opening a new state of the art facility to support worldwide sales and training in April of 2000. Management principals in Tracer Technologies Inc. will take equity positions in BakBone Software, and continue with the company, upon completion of the planned acquisition.

With the acquisition of NetVault Ltd. and Tracer Technologies, combined with a new management team joining the organization, BakBone Software enters the storage management software market as a significant player. BakBone Software will provide a new storage management alternative for data intensive customers such as ASP, SSP, Internet, and Storage Area Networks. BakBone Software will continue to expand its sales, support, training, and development offices throughout the U.S., Europe, and Asia.

BakBone Software's current customers include major OEMs and top storage-centric Value Added Resellers and distributors worldwide.
